These Terms of Service ("Terms") govern the supply of marketing and media services by MV Media House Pty Ltd (ABN 91 703 366 536), trading from Melbourne VIC, and accessible at https://mvmediahouse.online. By engaging our services, using our website, or accepting a quote from us, you agree to be bound by these Terms.
1. About Us
MV Media House Pty Ltd (ABN 91 703 366 536) is an Australian company providing marketing and media services including strategy, content production, campaign management and related creative services. Our registered office is located in Melbourne VIC, Australia. Enquiries may be directed to ceo@mvmediahouse.online.
2. Quotes, Engagement and Acceptance
- All quotes issued by MV Media House Pty Ltd are valid for 14 days from the date of issue unless otherwise stated in writing.
- A quote becomes a binding engagement only upon your written acceptance (including email acceptance) and, where applicable, payment of any deposit or upfront fee specified in the quote.
- Quotes are prepared on the basis of the scope described at the time of issue. Any change to scope may result in a revised quote or additional fees, which we will confirm with you in writing before proceeding.
- Prices quoted are in Australian dollars (AUD) and are exclusive of GST unless expressly stated otherwise.
3. Payment Terms
- Invoices are payable within the period stated on the invoice, and in any event within 14 days of the invoice date unless another arrangement is agreed in writing.
- Where a deposit or retainer is required, work will not commence until that payment has been received in full.
- Overdue amounts may accrue interest and reasonable recovery costs as permitted by law, and we reserve the right to suspend or cease work on any engagement where payment is overdue.
- Payment methods and account details will be provided on our invoices. Please note that these Terms form part of our website and no payment is processed through the pages of this site itself.
4. Your Obligations
To enable us to deliver services effectively, you agree to:
- Provide accurate, complete and timely information, materials, brand assets and approvals reasonably required for the delivery of the services.
- Ensure you hold all necessary rights, licences and permissions for any materials you supply to us.
- Respond to approval requests within a reasonable time. Delays caused by late feedback may affect delivery timelines and may result in additional costs where rework or rescheduling is required.
5. Delivery, Revisions and Timeframes
- Estimated timeframes provided in quotes or project plans are estimates only and are not binding commitments, although we will always work to agreed timelines in good faith.
- Each quote or engagement will specify the number of revision rounds included. Additional revisions requested outside the agreed scope will be quoted separately.
- Deliverables are deemed accepted if you do not raise written objections within 14 days of delivery.
6. Intellectual Property
- Upon full payment of all fees owing for an engagement, you are granted a licence to use the final deliverables created for you for your ordinary business purposes. Ownership of final deliverables transfers to you on full payment, except where third-party materials, stock assets or licensed software are incorporated, in which case the applicable third-party licence terms apply.
- We retain ownership of our pre-existing tools, frameworks, methodologies, templates, working files and know-how, and of any deliverables not yet paid for.
- We may reference non-confidential work we have produced for you in our portfolio and marketing materials, unless you request otherwise in writing.
- All content on this website, including text, design and graphics, is owned by or licensed to MV Media House Pty Ltd and may not be reproduced without our written permission.
7. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party in connection with an engagement, and to use that information only for the purpose of delivering or receiving the services. This obligation does not apply to information that is public, independently developed, or required to be disclosed by law.
8. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any rights or remedies you may have under the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth), including the consumer guarantees. Our services come with guarantees that cannot be excluded under the Australian Consumer Law, including a guarantee that services will be rendered with due care and skill, be reasonably fit for any purpose you have made known to us, and be supplied within a reasonable time.
If you are a "consumer" under the Australian Consumer Law, you may be entitled to remedies such as resupply of the services or compensation for the reduction in value of the services where a consumer guarantee is not met. Nothing in these Terms limits those rights. These Terms must be read subject to any non-excludable rights under the Australian Consumer Law.
9. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for any indirect, incidental, special or consequential loss, including loss of profits, revenue, goodwill or business opportunity, arising from the services or these Terms.
- Our total aggregate liability for any claim arising out of or in connection with the services is limited, at our option, to resupplying the relevant services or paying the cost of resupply, consistent with section 64A of the Australian Consumer Law where that limitation applies.
- Any liability that cannot lawfully be limited remains unaffected.
10. Third-Party Platforms and Advertising
Where services involve advertising platforms, social media channels, hosting providers, analytics tools or other third-party services, those services are governed by the relevant third party's own terms. We are not responsible for changes, outages, policy updates or pricing changes imposed by third-party platforms, although we will take reasonable steps to inform you and adjust campaigns where practicable.
11. Results and Performance
While we apply professional skill, care and industry-standard practices, we do not guarantee specific business outcomes, rankings, lead volumes, conversions or return on investment, as results depend on many factors outside our control, including your market, product, budget and third-party platforms.
12. Suspension and Termination
- Either party may terminate an engagement by giving the written notice period specified in the applicable quote or statement of work (or 14 days' written notice if none is specified).
- We may suspend or terminate services immediately if you fail to pay overdue amounts after written notice, or if you materially breach these Terms.
- On termination, you must pay for all work performed and expenses incurred up to the date of termination. Any deposits paid are non-refundable to the extent work has already been performed.
13. Privacy
We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth).
14. General
- Entire agreement: These Terms, together with any accepted quote or statement of work, form the entire agreement between the parties in relation to the services.
- Amendments: We may update these Terms from time to time. The current version published on this website applies to new engagements, and material changes will be notified to active clients in writing.
- Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force.
- Force majeure: We are not liable for delay or failure to perform caused by events beyond our reasonable control.
- Governing law: These Terms are governed by the laws of Victoria, Australia, and the parties submit to the jurisdiction of the courts of Victoria and the Commonwealth of Australia.
